License Agreement

Parties & scope

This End-User License Agreement (the “Agreement”) is a legal contract between you — the individual or entity acquiring a license (“you”, the “Customer”) — and The INDIVIDUAL ENTREPRENEUR ANDRII CHAIKOVSKYI, acting based on the Record from the Unified State Register of Legal Entities, Individual Entrepreneurs and Public Associations No. 21860000000001552 of 18.11.2019, trading as FS20 Studio (“FS20 Studio”, “we”, “us”, or “our”), with its registered office at 3 Zarichna street, Lokachi, Volyn region, 45500, Ukraine.

This Agreement applies to every extension, module, plugin, theme, script, and any accompanying documentation that you purchase, download, or otherwise obtain from fs20-studio.com, from the Adobe Commerce Marketplace, or through any other channel authorized by us (together, the “Software”).

Definitions

  • Software — the object and source code, files, and any documentation of an FS20 Studio product, together with any updates provided to you under this Agreement.
  • Installation — a single production instance of Adobe Commerce or Magento Open Source, together with the staging and development instances that directly serve that same production instance.
  • License — the limited right to use the Software granted under Section 4.
  • Subscription — the period during which you are entitled to updates and support for the Software, as described in Section 8.

Acceptance

This Agreement takes legal effect at the earliest of the moment you place an order for the Software, download it, install it, or otherwise begin using it. By doing any of these things, you confirm that you have read and understood this Agreement and that you agree to be bound by it.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” and “Customer” refer to that entity.

Grant of license

Subject to your compliance with this Agreement and payment of the applicable fees, we grant you a revocable, non-exclusive, non-transferable, non-sublicensable, worldwide, limited license to install and use the Software.

  • Each license entitles you to use the Software on one (1) Installation, for your own personal or internal business (e-commerce) purposes.
  • A separate license must be purchased for each additional Installation on which the Software is used.
  • The number of licenses you hold must at all times match the number of Installations on which the Software is deployed.

The license covers the version of the Software available at the time of purchase, together with any updates you receive during an active Subscription (see Section 8).

Ownership

FS20 Studio (or its licensors) is and remains the sole owner of all intellectual property rights in the Software, including all copyrights, trademarks, source and object code, algorithms, database structures, user-interface elements, text, and documentation. The Software is licensed, not sold.

This Agreement does not transfer to you any title or ownership in the Software. All rights not expressly granted to you are reserved by us.

Customization

The Software is distributed with open (non-encrypted) PHP source code. You may modify and customize the Software as needed for use on your own licensed Installation.

Any modifications you make are your sole responsibility, are provided no warranty by us, and may not be supported. We are not obliged to maintain compatibility of your customizations with future updates. If you would like customization carried out for you, we can provide this as a separate paid service.

Restrictions

Except as expressly permitted in this Agreement, you must not:

  • sell, resell, sublicense, rent, lease, lend, distribute, publish, host for distribution, or otherwise make the Software (in whole or in part) available to any third party;
  • use the Software, or any portion of its code, in another product, extension, website, or Installation not covered by a valid license;
  • remove, obscure, or alter any copyright notice, trademark, attribution, or other proprietary mark within the Software, including any FS20 Studio branding in file names, class names, variables, text, or interface elements;
  • publish the source code of the Software or make it available to the general public;
  • share a single license across multiple Installations belonging to different projects or parties.

If you provide services to end clients, you must ensure that each client’s Installation is covered by its own license, and any license used to deliver a client project is assigned to that client on completion of the work.

Updates & support

Each purchase includes 3 months of free updates and technical support, provided as a Subscription starting on the purchase date. During an active Subscription you may download the latest version of the Software from your account or request assistance through our support channel.

You may renew your Subscription to continue receiving updates and support beyond the initial period. Cancelling or allowing a Subscription to lapse does not terminate your license to the version you already hold, but you will no longer receive new updates or support. We may determine which products receive updates and when, and may discontinue updates for a product at our discretion.

Purchases through the Adobe Marketplace

Where you obtain the Software through the Adobe Commerce Marketplace, your purchase is additionally subject to Adobe’s applicable marketplace and end-user terms. Where those Adobe terms are mandatory and conflict with this Agreement, the Adobe terms will prevail to the extent required for that transaction. In all other respects, this Agreement governs your use of the Software.

Refund policy

We offer a 30-day money-back guarantee on Software purchased directly through fs20-studio.com. To request a refund, contact us within 30 days of purchase and state the reason for your request.

  • Refunds apply to the price paid for the Software only; fees for support renewals, second and subsequent Subscription payments, and separately purchased services are non-refundable.
  • Refunds are issued to the original payment method.
  • Refunds are not available where you have breached this Agreement, or where the Software is purchased through a third-party channel governed by that channel’s own refund rules (including the Adobe Commerce Marketplace).

On receiving a refund you must stop using the Software and remove all copies from your Installations.

Warranty disclaimer

The Software is provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or compatible with every configuration, third-party extension, or future platform version. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.
